I have significant experience in supporting all types of crypto businesses, I specialise in advising and consulting clients engaged in DeFi projects, including DAOs and DAO-structured projects, DEXes, non-custodial wallets, P2E games, NFT issuers and marketplaces, aggregating lending/borrowing protocols, margin trading / perpetual trading protocols, ICOs, IDOs, IEOs (and other types of token offerings and token sales you may imagine).
The first thing we would need to do is to check your business model to minimize legal risks and make sure that you build compliant project.
If you start your new project or even are new to the industry, we would need to start with selection of the proper jurisdiction matching your business needs. There is none single ideal jurisdictional solution as in crypto it is usually pros-and-cons combination. My goal here is to suggest the best option that would be beneficial to your business needs.
Legal structuring of all known types of tokens, including utility tokens, security tokens, NFTs, data tokens, fan tokens, index-linked tokens, and derivatives tokens. Advising on the legal framework for token governance, utility, and tokenomics, ensuring compliance with securities laws.
For some business activities you may require registration or licensing as virtual assets service provider (VASP) and setting full-level regulatory compliance or at least complying with the general anti-money laundering (AML) framework. These are also my areas of expertise where I would be extremely helpful.
It could be various terms covering your business, policies, agreements, memorandum of understanding, disclaimers and everything where business meets the law.
Name it as you prefer most: ICO, IDO, IEO, STO, but in all cases your token offering should be carefully structured and be in compliance with regulatory requirements, covered by well-written terms of sale as well as your tokenomics and overall whitepaper have been reviewed from the legal side.
Either you prefer token sale agreement or you are a fan of the SAFT model, these documents should cover all your legal risks. For equity investments you may consider starting from a terms sheet and letter of intent and finishing by signing shares/stock purchase agreement or going with a more relaxed way through convertible loan or SAFE.
At some stage you would face the necessity to protect your brand, identity and your software. This could cover registration of trademarks in various jurisdictions (the EU and the USA are my top ones), creating licenses for your software and your public repos. In some cases you may need to go heavy by sending take-down notices and fighting to protect you IP rights (imagine when someone started using the same name of tokens, but you have an advantage of a registered trademark).
And probably the last but not the least. Sometimes you can’t avoid a good fight. I would be able to assist you in dispute resolution. I successfully represented my clients/ employers before US SEC (yes, I won against mighty SEC), US FTC, FinCEN, and national European regulators.
And just to mark that all analysis and legal structuring are followed by a formal legal opinion expressing my position as a qualified lawyer on subject matters For example, whether your token coils be considered a security under applicable laws or whether your business activities are likely to fall in the regulated framework (like, being VASP, CASP, MSB or similar).
